Terms of Service

Terms for the AI-first paper studio.

1. Operator and acceptance

gumu.ai is operated by Sequester AG, Zug, Switzerland. These Terms govern access to and use of gumu.ai, including the website, paper studio, author profile features, AI-assisted drafting, review, rendering, export, billing, and related services.

By creating an account, starting a paper, using the service, or paying for a plan, you agree to these Terms. If you use gumu.ai for an institution, company, lab, or other organization, you represent that you have authority to bind that organization.

2. Accounts and eligibility

You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account unless the activity results from Sequester AG's breach of these Terms or applicable law.

The service is intended for researchers, students, authors, labs, and organizations. If mandatory law requires a higher age or additional consent for your use, you may use the service only when those requirements are satisfied.

3. Research content and academic responsibility

gumu.ai can help draft, revise, analyze, and package research manuscripts. AI output may be incomplete, inaccurate, uncited, or unsuitable for a venue. You remain responsible for checking factual claims, citations, authorship, ethics approvals, venue rules, acknowledgements, conflicts, data rights, and disclosure obligations.

You must not submit AI-generated or AI-assisted text in a way that violates academic integrity rules, venue policies, funder requirements, employer rules, law, or third-party rights.

4. User content and user intellectual property

As between you and Sequester AG, you retain ownership of your prompts, manuscripts, uploads, PDFs, images, comments, source files, author profile inputs, and other content you provide to the service.

You grant Sequester AG a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, modify, and create technical derivatives of your content only as needed to operate, secure, support, improve, and provide the service, including AI-assisted features and exports.

You represent that you have the rights needed to upload and process your content through gumu.ai. You must not upload confidential third-party material, personal data, copyrighted material, datasets, reviewer notes, or venue materials unless you have the right to do so.

5. Published paper examples

Unpublished drafts, private source files, private comments, reviewer materials, and non-public project data remain private subject to these Terms and the Privacy Policy.

After you publish a paper, make it publicly available, or authorize public release, you grant Sequester AG a non-exclusive, worldwide, royalty-free license to identify the published paper as an example of work supported by gumu.ai. This may include the public title, authors, venue, abstract, citation, DOI or URL, public screenshots, short excerpts from the published paper, and a factual description of how gumu.ai was used.

Sequester AG will not claim ownership of the paper. You may opt out of example use by emailing [email protected], and Sequester AG will stop new promotional use within a reasonable time, although already published materials may take time to update or remove.

6. Sequester AG intellectual property

The service, website, software, interfaces, workflows, documentation, designs, branding, templates, helper agents, prompts authored by Sequester AG, selection and arrangement, and other Sequester AG technology and content are owned by Sequester AG or its licensors.

Except for the limited access granted to use the service, no rights in Sequester AG intellectual property are transferred to you. You may not copy, reverse engineer, resell, frame, scrape, or build a competing service from Sequester AG materials except where mandatory law permits.

7. Acceptable use

You may not use gumu.ai to break the law, infringe intellectual property or privacy rights, submit deceptive academic work, distribute malware, bypass service limits, interfere with the service, scrape at scale, attack systems, or upload content that is unlawful, abusive, or materially harmful.

You may not use the service to generate spam, impersonate others, misrepresent authorship, fabricate citations or data intentionally, or conceal required AI-use disclosures.

8. Third-party services and AI providers

gumu.ai may use third-party infrastructure, payment processors, authentication providers, AI model providers, rendering tools, and storage providers. Their services may process content and metadata as needed to provide gumu.ai.

Third-party services may have their own terms. Sequester AG is not responsible for third-party services outside its reasonable control, but will use commercially reasonable care in selecting and operating providers.

9. Fees, credits, and changes

Paid plans, credits, and usage limits are shown at purchase or in the product. Fees are due as stated and are non-refundable except where required by mandatory law or expressly promised by Sequester AG.

Sequester AG may change features, limits, prices, and plans prospectively. If a material change negatively affects a paid subscription, Sequester AG will use reasonable efforts to give advance notice.

10. Confidentiality and security

Sequester AG will use reasonable technical and organizational measures to protect private drafts and account data. No online service is perfectly secure, and you should not upload material that you are not permitted to process with a hosted AI service.

If you need a separate confidentiality agreement, data processing agreement, enterprise controls, or restricted processing mode, contact [email protected] before uploading sensitive materials.

11. Disclaimers

The service is provided on an as-is and as-available basis. To the fullest extent permitted by law, Sequester AG disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and error-free operation.

gumu.ai does not provide legal, medical, financial, ethics, publication, or academic-integrity advice. You are responsible for independent review before relying on output or submitting work.

12. Limitation of liability

To the fullest extent permitted by law, Sequester AG will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, lost submissions, rejected papers, reputational harm, or substitute services.

To the fullest extent permitted by law, Sequester AG's aggregate liability for all claims relating to the service is limited to the greater of CHF 10 or the amounts you paid to Sequester AG for the service in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under mandatory law, including liability for intentional misconduct or any other non-excludable liability.

13. Termination

You may stop using the service at any time. Sequester AG may suspend or terminate access if you breach these Terms, create legal risk, misuse the service, fail to pay, or if continued operation is no longer commercially or technically reasonable.

After termination, provisions that by their nature should survive will survive, including intellectual property, payment obligations, disclaimers, limitations of liability, governing law, dispute resolution, and published paper example rights already granted.

14. Governing law and venue

These Terms and any dispute or non-contractual claim arising from or relating to them or the service are governed by the substantive laws of Switzerland, excluding conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

Subject to the arbitration clause below and mandatory law, the courts of Zug, Switzerland have exclusive jurisdiction for disputes relating to these Terms or the service.

15. Arbitration and class action waiver

To the extent permitted by mandatory law, any dispute, controversy, or claim arising out of or relating to these Terms, the service, or their validity, breach, termination, or enforceability shall be finally resolved by arbitration seated in Zug, Switzerland, in English, before one arbitrator.

To the extent permitted by mandatory law, the sole arbitrator shall be selected by Sequester AG. If that selection mechanism is not enforceable or a competent authority requires a neutral appointment process, the sole arbitrator shall instead be appointed under the Swiss Rules of International Arbitration of the Swiss Arbitration Centre, or by the competent court or appointing authority in Zug.

To the extent permitted by mandatory law, disputes must be brought only in an individual capacity and not as a plaintiff, class member, representative, or private attorney general in any class, collective, consolidated, or representative proceeding. If this waiver is not enforceable for a claim, that claim may proceed only to the minimum extent required by mandatory law.

Either party may seek interim, injunctive, or conservatory relief from a competent court where necessary to protect intellectual property, confidential information, data security, or the availability of the service.

16. Changes and contact

Sequester AG may update these Terms from time to time. The updated Terms will be posted on this page with a new effective date. Material changes will apply prospectively unless mandatory law allows otherwise.
